David McGovern
David McGovern

David McGovern founded Marlin Equity Partners in 2005 and serves as the Managing Partner and Chairman of the firm’s Executive and Investment Committees. He is actively involved in all aspects of managing the firm and is instrumental in promoting Marlin’s strategic vision, providing insight and guidance on all investment and portfolio related decisions, and ensuring the firm’s adherence to its core investment principles.

Mr. McGovern has been a private equity investor since 1999 and has significant expertise in the M&A process, corporate strategy, turnarounds, acquisition integration and realizations through sales, public offerings and recapitalizations. Marlin’s investment philosophy centers around a fundamental set of principles focused on partnering with management to execute strategies for long-term value creation. Since Marlin’s inception, Mr. McGovern and the Marlin investment team have successfully initiated and executed a unique model of investing that seeks to provide flexible solutions to businesses that can benefit from the firm’s strong capital base, deep industry relationships and extensive network of operational resources.

Prior to his private equity career, Mr. McGovern was a senior investment banker at CIBC and an attorney at Gibson, Dunn & Crutcher. He earned a J.D. from Georgetown University Law Center, where he was an editor of The Georgetown Law Journal (law review), and a B.S. in Finance with Beta Gamma Sigma honors from Louisiana State University.

Nick Kaiser
Nick Kaiser

Mr. Kaiser co-founded Marlin in 2005 and has worked closely with Mr. McGovern as a private equity investor since 2000. He is a Partner and member of the firm’s Executive and Investment Committees. Mr. Kaiser’s primary responsibilities include overseeing Marlin’s investment professionals, conducting due diligence, transaction execution and portfolio monitoring. His transaction experience includes numerous enterprise software acquisitions, take-privates, corporate divestitures and growth equity investments. Mr. Kaiser earned a B.A. in Economics-Mathematics, with honors, from the University of California, Santa Barbara.

Peter Spasov
Peter Spasov

Mr. Spasov is a Partner and member of the firm’s Executive and Investment Committees. Mr. Spasov joined Marlin shortly after the firm’s formation in 2005, and his primary responsibilities at Marlin include deal origination and qualification, transaction structuring, portfolio monitoring, pursuing strategic initiatives and overseeing the firm’s business development, investor relations and fund administration functions. Mr. Spasov has over 15 years of broad-based investment and private equity experience and prior to joining Marlin, he was in the Investment and Trust Department at Northrop Grumman, which manages over $30 billion in assets. While at Northrop Grumman, he was primarily focused on private equity and real estate investing, including strategic and tactical planning, conducting due diligence, serving as a voting member for the approval of new investments and portfolio management. Mr. Spasov earned a B.A. in Economics-Accounting from the University of California, Santa Barbara and previously was the President of the Southern California Chapter of the Turnaround Management Association.

Steve Johnson
Steve Johnson

Mr. Johnson is a Partner and member of the Marlin Equity Investment Committee. His primary responsibilities at Marlin include deal qualification, conducting due diligence, transaction execution and portfolio monitoring. He has been a private equity investor since 2002 and has served in both mergers and acquisitions, and operational roles, including a two year period as the CFO of Avure Technologies where he was responsible for financial strategy, acquisitions/divestitures, debt financings, risk management and day-to-day financial operations. Prior to his private equity career, Mr. Johnson was Director of Acquisition Analysis and Integration at First Data Corporation where he was involved in pre and post-acquisition activities. Prior to First Data Corporation, he was a manager in the Corporate Transaction Services unit of Accenture, where he was involved in transactions including joint ventures, new business formations, alliances and long-term outsourcing engagements. Mr. Johnson began his career with the Office of the Comptroller of the Currency as an Associate National Bank Examiner. He earned a B.S. in Economics from Boston College.

George Kase
George Kase

Mr. Kase is a Partner and member of the Marlin Heritage Investment Committee. His primary responsibilities at Marlin include deal qualification, conducting due diligence, transaction execution and portfolio monitoring. Prior to joining Marlin, Mr. Kase was a management consultant for McKinsey & Company and an investment banker with CIBC, focused on mergers and acquisitions. He earned an M.B.A. from Stanford University and a B.A. in Economics from the University of California, Los Angeles, where he was an Academic-All American and team captain of the football team.

Shawn-McMorran
Shawn McMorran

Mr. McMorran is a Partner in Marlin’s London office with a dual focus on investments and operations. His primary responsibilities at Marlin include deal qualification, conducting due diligence, transaction execution and portfolio monitoring. Mr. McMorran has over 22 years of mergers and acquisitions, and operating experience, including 7 years with Marlin. Previously, he spent 12 years with SunGard Data Systems, where his career developed through sales, business management and executive development roles in the UK and continental Europe. In 2002, Mr. McMorran left SunGard to set up a strategic advisory practice for portfolio investors in information technology and, from 2003, served as CEO of Almonde, a Benchmark Capital portfolio company acquired by Misys plc in 2005. From 2006, Mr. McMorran led Solarsoft, a Marlin portfolio company, through six years of growth culminating in a sale of the business to Epicor in 2012. He earned an honors degree in Economics from Carleton University.

Jonah Sulak
Jonah Sulak

Mr. Sulak is a Partner and member of the Marlin Heritage Investment Committee. His primary responsibilities at Marlin include deal qualification, conducting due diligence, transaction execution and portfolio monitoring. Prior to joining Marlin, he worked at the Sanders Morris Harris Group, where he led equity financings for technology, software and consumer businesses. Prior thereto, Mr. Sulak worked at the predecessor to Houston Ventures, where he engaged in the execution of several successful venture, growth and late stage investments primarily in the technology, software and consumer sectors. He earned a B.A. in Finance, with a dual concentration in Accounting and Spanish, from the McCombs School of Business at the University of Texas at Austin.

Ryan Wald
Ryan Wald

Mr. Wald is a Partner and member of the Marlin Heritage Investment Committee. His primary responsibilities at Marlin include deal qualification, conducting due diligence, transaction execution and portfolio monitoring. He has been a private equity investor since 1999, and prior to joining Marlin, Mr. Wald was an Investment Committee member and Managing Director responsible for leading the Technology, Media & Telecom vertical at The Gores Group. He has served as a member of the Board of Directors for numerous highly successful businesses, including Alpheus Communications, Diagnostic Health, Elo Touch Solutions, Enterasys Networks, Global Tel*Link, Harris Broadcast, Lineage Power, Real Software, Stock Building Supply, VincoTech and Wire One. Prior thereto, he was an investment banker at CIBC Oppenheimer focused on mergers and acquisitions. Mr. Wald earned a B.B.A. in Finance from the McCombs School of Business at The University of Texas at Austin.

Prior to joining Marlin, he focused on the software and services verticals at Golden Gate Capital and was engaged in the execution of a range of investments covering growth equity, corporate divestitures, operational restructurings and management buyouts. Prior thereto, Mr. Bayerd worked in the private equity group at Oaktree Capital Management, a Los Angeles based investment management firm. He earned an M.B.A. from Harvard Business School and a B.A. in Business Economics from the University of California, Los Angeles.

Nathan Pingelton
Nathan Pingelton

Mr. Pingelton is a Principal and his primary responsibilities at Marlin include deal qualification, conducting due diligence, transaction execution and portfolio monitoring. Before joining Marlin’s investment team, he served as a Director of Financial Due Diligence within Marlin’s Operations Group. Prior thereto, Mr. Pingelton worked at KPMG in the Transaction Services Practice and Assurance Practice. During that time, he advised clients on transactions in a broad spectrum of industries including basic materials, healthcare and consumer goods. He earned a B.B.A. and Masters of Accountancy from the University of Oklahoma and is a Charter Financial Analyst Level III Candidate.

Mr. Carnes has been at Marlin since 2009 and has completed a variety of successful merger and acquisition transactions. Prior to joining Marlin, he worked at Deloitte & Touche LLP in their Assurance Practice, working largely with financial services and consumer products businesses. Mr. Carnes is a Certified Public Accountant (inactive) and has a B.S. in Business Administration (Finance & Entrepreneurship) and Accounting from the University of Southern California, where he graduated magna cum laude.

He also worked in the investment banking group of Wedbush Securities, with a focus on mergers and acquisitions, and public offerings across a variety of industries. He earned an M.B.A. from the University of Chicago Booth School of Business and a B.S. in Business Administration from the University of Southern California.

Barbara Luzzatto

Ms. Luzzatto is the Chief Financial Officer and Chief Compliance Officer of Marlin. Her primary responsibilities include overseeing the financial, regulatory compliance and administrative functions of the Marlin funds and related entities.

Ms. Luzzatto has over 25 years of experience in finance, accounting, tax, operations, human resources, risk management and FINRA and SEC regulatory compliance. Prior to joining Marlin, she was with Saybrook Capital, LLC, a special situations focused middle-market private equity firm, where she served as the firm’s Chief Financial Officer and Chief Compliance Officer for over 7 years. Ms. Luzzatto earned her B.S. in Business Administration/Accounting from the University of Missouri, Columbia. She is also a Certified Public Accountant (inactive).

Sang Park
Sang-IL Park

Mr. Park’s primary responsibilities at Marlin include investor relations support, limited partner communications, institutional fundraising and marketing activities for the firm. Prior to joining Marlin, Mr. Park was at Northrop Grumman where he was a Director of Corporate Investments for the Investments and Trust Department, which manages over $36 billion in assets. Mr. Park was primarily responsible for overseeing the alternative investments program which included developing semi-annual strategic and tactical plans, conducting due diligence, managing fund commitments and representing Northrop on advisory boards. While at Northrop, Mr. Park led or co-led aggregate commitments totaling $5 billion across 80 private equity, real estate and infrastructure partnerships. He previously was an Associate Director for WestLB Asset Management (USA), LLC. Mr. Park earned a B.A. in Economics from the University of California, Berkeley with a minor in Business Administration and is a member of the Chartered Alternative Investment Analyst Association®.

Robb Warwick
Robb Warwick*

Mr. Warwick is an Operating Executive and CFO of Marlin Operations Group, Inc. His primary responsibilities include overseeing the Operations Group, conducting operational due diligence and providing operational assistance and financial and tax support to portfolio companies.

Previously, Mr. Warwick served as CFO of MicronPC and, prior to becoming CFO, he acted as Controller for Micron Electronics. In addition, Mr. Warwick has held various roles with Coopers & Lybrand, Nichols Accounting Group, Micron Technology, Hall Heatherington Hooper & Co. and Ripley Doorn & Co. He earned a B.A. in Accounting and Business Administration from Northwest Nazarene College.

*Members of the Operations Group assist Marlin in its operational due diligence for prospective and consummated transactions and in its post-closing operating initiatives for portfolio companies. Jim-Brady
Jim Brady*

Mr. Brady is an Operating Executive in Marlin Operations Group, Inc., focused on conducting operational due diligence and providing operational support to portfolio companies across the healthcare sector.

Mr. Brady has over 20 years of experience as an operator in the healthcare IT and services sectors. Mr. Brady joined from JBR Advisors, LLC, a management advisory firm and, prior thereto, he was the founder and CEO of Payerpath, a web-based claims management system for healthcare providers and payers. In 2006, Payerpath was sold to Misys Healthcare Systems, one of the top five healthcare IT companies in North America. After the sale of Payerpath, he served as President of Payerpath, a Misys Company, and served on the Board of Misys Healthcare Systems as well as on the Operating Board of its parent company, UK-based Misys plc.

Prior to founding Payerpath, Mr. Brady held various leadership positions in the healthcare technology sector, including Vice President of sales for the healthcare division of National Data Corporation (NDC Health), and Senior Vice President of Health Communication Services (HCS), a firm acquired by NDC. While at HCS, he helped grow the company to one of the nation’s largest suppliers of healthcare electronic data interchange (EDI) services to hospitals, physicians and insurance companies. He also served as district manager for Automatic Data Processing (ADP). Mr. Brady earned a B.A. in Economics from the University of Richmond.

Mr. DiPietro is an Operating Executive focused on conducting operational due diligence and providing operational support to portfolio companies across the telecommunications and technology industries, with a specific focus on the wireless, software, systems and semiconductor sectors. He also currently serves as the Vice Chairman of the Board at Coriant, a Marlin portfolio company. Pat brings over 20 years of operating and over 10 years of venture capital investing experience.

Previously, Mr. DiPietro was Managing Partner of VG Partners, a leading Canadian venture capital firm, where he oversaw the Technology Fund. As a venture capitalist, he has been directly responsible for a portfolio of over 20 high technology companies, while overseeing a professional venture capital team. Prior thereto, Mr. DiPietro served as Vice President of 3G Wireless at Nortel Networks, held senior managerial roles across various Nortel divisions and Bell Northern Research, and launched several highly successful network products over his operating career.

Mr. DiPietro has also sat on the Board of numerous successful companies, including Sandvine (now public), SiGe (acquired by Skyworks), Continuous Computing (acquired by Radisys) and BelAir Networks (acquired by Ericsson). In addition, he is the founder of The Ottawa Network, a non-for-profit start-up accelerator, has been a Board Member of Invest Ottawa and an angel investor in a number of technology start-ups.

Mr. DiPietro earned a B.Sc. in Electrical Engineering from Queen’s University, and has completed Masters in Telecommunications Management courses from Carleton University.

Mr. Kheradpir began his career at GTE Corporation, where he was subsequently appointed EVP & Chief Information Officer of Verizon Communications and member of the executive leadership team driving the systems modernization, efficiency, innovation and product initiatives, including FiOS, one of the largest infrastructure programs in the U.S. with a total capital investment of over $20 billion.

Mr. Kheradpir earned a Ph.D., M.S. and B.S. degree in Electrical Engineering from Cornell University. He owns multiple patents spanning the telecommunications, media and payments industries and has also previously served on the advisory boards of the U.S. National Institute of Standards & Technology and the Cornell University Engineering Council.
