Speed & Certainty: Thomson Reuters (NYSE:TRI)

Background

Thomson Reuters (NYSE:TRI) is a provider of intelligent information for businesses and professionals worldwide. After a strategic review, Thomson Reuters’ Board decided to divest Liquent, a leading provider of regulatory software and services to the life sciences industry, which it had acquired as part of a larger acquisition. The corporate parent was focused on completing a quick transaction before year-end, but was also concerned about finding a good home for the business and its employees.

Transaction Summary

Marlin tailored a solution to accomplish Thomson Reuters’ objectives:

  • We completed the transaction before year-end and minimized distractions for senior management
  • Marlin provided contractual assurances that employees would be treated fairly and created a seamless transition of ownership
  • We delivered on our original proposal, closing the transaction in less than 60 days without adjusting purchase price

Results

During our ownership, Marlin continued to support the company’s growth and acquired a leading competitor named Datafarm, which helped expand Liquent’s customer base into Tier 2 pharma companies. Liquent was eventually sold to a strategic buyer in a successful transaction for Marlin and management.
